ReturnsIQ Inc., doing business as Conjunction ("Conjunction," "we," "us"), provides a service that helps venues, organizers, and communities connect, confirm event terms, and coordinate event logistics (the "Service"). By accessing or using the Service, you agree to these Terms of Service ("Terms").
You must be at least 18 years old and authorized to bind the business or organization you represent. You are responsible for maintaining accurate account information and for all activity conducted through your account.
Conjunction offers a venue plan currently branded as the Founding Venue Program.
Pricing: $25 per month, billed every six months ($150 every six months), unless otherwise stated in writing.
Payments are processed through Stripe. By purchasing a venue plan, you authorize Conjunction to charge your selected payment method according to the plan terms. Taxes may apply where required by law.
Venues may require deposits from organizers or communities to secure event dates. Deposit amounts and rules (including cancellation, refund, or forfeiture) are defined in written terms confirmed by the parties.
Conjunction may facilitate deposits and will release or refund them according to the written terms. Conjunction does not act as an escrow agent and is not a party to the event agreement unless explicitly stated in writing.
For certain events, organizers may be required to place a deposit before Conjunction begins coordinating venue matches.
Organizer deposits may be used to confirm intent to proceed, allow Conjunction to approach venues on the organizer's behalf, and encourage coordination to remain within a Conjunction-managed shared thread.
If Conjunction does not provide curated venue options within a stated timeframe, the organizer may request a refund. Deposits may be forfeited if an organizer circumvents the Conjunction process or contacts introduced venues outside the shared thread.
If a venue maintains an active Founding Venue Program subscription for six continuous months and does not achieve either of the following outcomes during that period:
the venue may request a refund of the subscription fees paid for that six-month period.
A "Conjunction-sourced" booking or event is one where Conjunction made the introduction or facilitated material coordination in a Conjunction-managed shared thread, Deal Box, or similar written confirmation.
Guarantee eligibility requires that the venue:
Refund requests must be submitted within 30 days after the six-month period ends.
For Conjunction-sourced events, venues agree to pay Conjunction a revenue share equal to 5 percent of net food and beverage sales attributable to the event.
"Net food and beverage sales" excludes tax, gratuity, refunds, and chargebacks.
Venues agree to submit a POS sales report for each Conjunction-sourced event within 7 calendar days after the event date.
If the POS sales report is not submitted within 7 days, Conjunction may automatically charge a $100 administrative fee to the payment method on file.
If reporting or payment remains overdue, Conjunction may apply a late fee on amounts due, up to 1.5 percent per month (or the maximum permitted by law), and may pause the venue from receiving new introductions until resolved.
By using the Service and purchasing a venue plan, you authorize Conjunction to charge the payment method on file for:
To protect match quality, attribution, and reporting accuracy:
On-Thread Communication: All material coordination should remain in the Conjunction-managed shared thread (such as WhatsApp or similar tools) until the introduction is resolved.
Non-Circumvention: Users may not bypass the Service or introduced counterparties during an active introduction. If Conjunction introduces a client to a venue, and the venue books that client within 12 months of the initial introduction, Conjunction is entitled to the agreed revenue share on the first booking only, even if the booking is finalized outside the Service.
Booking Notification: Venues must notify Conjunction of confirmed bookings that result from Conjunction introductions.
Conjunction may restrict access, pause introductions, withhold eligibility for the Guarantee, or deem deposits forfeited if circumvention occurs.
Conjunction may provide booking support tools such as draft communications, terms summaries, run-of-show checklists, or deposit facilitation. Users are responsible for reviewing and approving all final terms.
Conjunction does not act as an agent, broker, or representative of any venue or organizer.
Venues may provide limited POS, attendance, or related data for the purpose of generating post-event insights and improving the Service. Use of such data is governed by the Privacy Policy.
You agree not to misuse the Service, harass others, infringe rights, submit false information, or attempt to bypass agreed processes or fees.
Users retain ownership of their content. By submitting content, you grant Conjunction a non-exclusive license to use it solely to operate and improve the Service. Conjunction retains all rights to the Service and its underlying technology.
The Service may integrate with third-party providers (such as payment processors or communication tools). Use of those services is subject to their own terms and policies.
Except for expressly stated guarantees, Conjunction does not guarantee attendance, revenue, or event outcomes. The Service is provided "as is."
To the fullest extent permitted by law, Conjunction will not be liable for indirect, incidental, consequential, or punitive damages. Conjunction's total liability is limited to the fees paid to Conjunction in the three months preceding the claim.
You agree to indemnify and hold harmless Conjunction from claims arising from your content, events, operations, or violation of these Terms.
You may cancel according to your subscription terms. Conjunction may suspend or terminate access for non-payment, abuse, violations of these Terms, or repeated failure to provide required reporting.
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of updated Terms.
These Terms are governed by California law. Exclusive venue for disputes is San Francisco County, California.
